General:

If any of these terms is determined to be illegal, invalid or otherwise unenforceable by reason of law then to the extent and within the jurisdiction in which that term is illegal, invalid or unenforceable, it shall be severed and deleted from these Terms and the remaining terms shall survive, remain in full force and effect and continue to be binding and enforceable.
These Terms shall be governed by and interpreted in accordance with the laws of India. Any dispute arising in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Hyderabad, India.

Agreement Definition:

The term "Agreement" encompasses the Application, Compensation Plan, and Distributor Policies and Procedures. I hereby agree to abide by the terms and conditions outlined in this Agreement.

Compliance with Laws:

I commit to adhering to all applicable laws related to my activities as an independent Distributor under this Agreement. Specifically, I agree not to make any misleading or deceptive claims concerning my business dealings.

Bonus Payments:

I understand that to be eligible for bonus payments under the Compensation Plan, I must not be in violation of the Agreement.

Liability Limitation:

To the fullest extent permitted by law, DHCPL and its affiliates' total liability under this Agreement shall be limited to the sums I paid for Products or Rs. 450,000.00, whichever is lower.

Entire Agreement:

The Agreement, as currently constituted and as amended by the Company, constitutes the entire contract between the Company and me. Any promises, representations, offers, or other communications not expressly stated in the Agreement are invalid.

Severability:

If any provision of the Agreement is found to be invalid or unenforceable, that provision will be reformed to the extent necessary to make it enforceable, while the rest of the Agreement remains in full force.

Governing Law:

This Agreement is governed by and interpreted in accordance with the laws of Hyderabad, without regard to conflicts of law principles.

Jurisdiction and Venue:

The parties agree to the jurisdiction and venue in the courts of Hyderabad for enforcing arbitrator awards or any other non-arbitration matters.

Proof of Address:

To be eligible for bonus payments as outlined in the Compensation Plan, Indian citizens must provide satisfactory proof of address within 30 days of entering into this Agreement.
